Learning Outcomes
Tte course examines the formation,function and relations with third parties of the commonly regulated on a european scale capital companies on the basis of the relevant european legislation and case law.Also,the unique european company,the "European Company"("Societas Europaea") is analysed.
Course Content (Syllabus)
The course is dealing with types of companies which are regulated by European directives and especially with companies limited by shares and companies with limited liability and the European Co. Only the law of these companies has been harmonized on a European level.
The following subjects are covered:
• The Companies’ formation
o the organs (board of directors, general meeting of shareholders, auditors),
o the administration,
o functioning,
o accountings,
o dissolution and
o merger of the above companies
• The European Company.
