Course Content (Syllabus)
I. Introduction Concept, main features and categories, numerus clausus of companies, civil partnership II. Partnerships 1. General partnership: Concept, establishment, internal affairs (organs, rights and duties of partners), external affairs (management and representation, partners’ liability), winding-up. 2. Limited partnership: Concept, differences from general partnership, establishment, internal and external affairs, winding-up. 3. Limited partnership with shares (particularities) 4. Undisclosed partnership: Concept and main features, differences from other forms of co-operation, internal and external affairs, end 5. Particular forms of partnerships (consortium) III. Corporations 1. Public company: concept and main features, establishment, mergers, divisions and transformations, State supervision, capital including increase and reduction, shares, shareholders (legal position, rights), shareholders meeting (concept, categories, procedure, decision-making, minority rights), board of directors (appointment, functions, liability), financial management (financial information, buffers, net income), winding-up and re-establishment 2. Limited liability company: concept and main features, establishment, participation and shares, organs, rights and duties of shareholders, changes in shareholding winding-up 3. Private company: Concept and main features, establishment, organs, contributions and shares, winding-up.
