Learning Outcomes
In the context of this course students are expected to -examine substantive aspects of société anonyme -analyze the conflict of interests between shareholders and directors -study significant aspects of european company law -familiarize themselves with the procedure of establishment of SAs in the European Union -find the common ground between the company law and the law of capital markets

Course Content (Syllabus)
The course “COMPANY LAW II'' examines substantive aspects of société anonyme as a company form, such as the conflict of interests between shareholders and directors as well as between the majority and the minority of the shareholders. Moreover, the course refers to significant aspects of the european company and accounting law, in particular the establishment of SAs in the European Union and the public offer as the interface between the company law and the law of capital markets.
